Terms of Use

Please read these Terms of Use ("Terms") carefully before using the SteadyTow mobile application (the "App") operated by Neptune Industries, LLC ("Neptune Industries," "we," "us," or "our").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. License

This End User License Agreement ("EULA") is between you and Neptune Industries, LLC — not Apple, Inc. Neptune Industries grants you a limited, non-exclusive, non-transferable, revocable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

2. Scope of License

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, or sublicense the App.

3. Maintenance and Support

Neptune Industries is solely responsible for providing maintenance and support services for the App, as specified in these Terms or as required under applicable law. Apple has no obligation to provide any maintenance or support services with respect to the App.

4. Warranty Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEPTUNE INDUSTRIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Neptune Industries does not warrant that the App will be uninterrupted, error-free, or free of harmful components. Apple has no warranty obligation with respect to the App.

5. Product Claims

Neptune Industries, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

6. Intellectual Property

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Neptune Industries, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

7. Export Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third-Party Terms

You must comply with applicable third-party terms of agreement when using the App, including your wireless data service agreement and Apple's platform terms.

10. Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

Subscription Terms

SteadyTow Subscription

SteadyTow requires an active subscription or free trial to use the App.

Paid Subscription

• After the trial expires (or if you choose to subscribe immediately), a paid subscription is required to continue using the App
• Subscription plans and pricing are displayed in the App at the time of purchase
• Payment is charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period

Cancellation

• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain access until then.
• No refunds are provided for the current billing period upon cancellation.
• To cancel, go to Settings > [Your Name] > Subscriptions on your device, or visit Manage Subscriptions.

Restore Purchases

If you have previously purchased a subscription, you can restore it from within the App to regain access on the same or a new device.

Important Disclaimers

Load securement guidance in the App is based on FMCSA Part 393 standards adapted as best practices for consumer use. These standards apply to commercial motor vehicles and are presented as recommended guidelines — not as legal compliance requirements for consumer trailers.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEPTUNE INDUSTRIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OR INABILITY TO USE THE APP
• ANY LOADING, TOWING, OR TRANSPORT DECISIONS MADE BASED ON THE APP'S CALCULATIONS
• ACCIDENTS, PROPERTY DAMAGE, OR PERSONAL INJURY RELATED TO TOWING OR HAULING
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY OTHER MATTER RELATING TO THE APP

IN NO EVENT SHALL NEPTUNE INDUSTRIES' TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Neptune Industries, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the App or violation of these Terms.

General Provisions

Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Neptune Industries regarding your use of the App and supersede all prior agreements and understandings.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the App after changes constitutes acceptance of the updated Terms.
